CombiGene’s rights issue registered – BTU converted to shares and warrants
CombiGene AB (publ) (”CombiGene” or ”the Company”) concluded a preferential rights issue of units amounting to MSEK 31 on 18 September 2018. The preference issue was subscribed to about MSEK 46, which corresponds to a subscription rate of about 148 percent. The issue has been registered with the Swedish Companies Registration
Office and the final date of trade in BTU is 25 October 2018. The record date is 29 October 2018, after which BTU will be converted to shares and warrants. The newly issued shares and warrants are expected to appear on
shareholders’ owner-registered accounts/securities accounts on 31 October 2018.
After registration of the issue the share capital in the Company amounts to SEK 5,159,347.60 distributed over 51,593,476 shares.
Subscription warrants of series 2018/2019 entitle the holder to subscribe for one new share in the company at a subscription price of 70% of the volume-weighted average price of the company’s share during the period from 15 August 2019 up to and including 28 August 2019. The subscription price will not be less than SEK 2.00 per share or exceed SEK 2.50 per share. Subscription for shares in the company, with subscription rights of series 2018/2019, may take place during the period 1 September 2019 through 30 September 2019. Full utilization of all warrants of series 2018/2019 will increase the company’s share capital by at most SEK 687,913,00 via issuance of at most 6,879,130 shares. The company’s share capital will then amount to SEK 5,847,260.60 distributed over 58,472,606 shares.
